Terms of Service

1. Introduction and Scope

These Terms of Service ("Terms") govern the relationship between TrueDatarium ("we", "us", "our"), operating from R. Actor António Silva, 1600-404 Lisboa, Portugal, and any individual or entity ("Client", "you") that engages our bookkeeping organisation and financial record preparation services.

By engaging our services or using this website, you agree to these Terms. Please read them carefully. If you do not agree, do not use our services.

2. Nature of Services

TrueDatarium provides bookkeeping organisation and financial record preparation services. These services are strictly organisational in nature and include:

• Collection and logging of financial documents (receipts, invoices, bank statements)
• Categorisation of expenses using standard accounting categories
• Bank statement reconciliation
• Preparation and delivery of organised monthly files for your contabilista

TrueDatarium is not a contabilista certificado registered with the Ordem dos Contabilistas Certificados (OCC). We do not provide accounting advice, tax advice, or any regulated financial services. We do not file tax returns, IVA declarations or any official financial statements. We do not represent clients before the Autoridade Tributária or any other regulatory body. Nothing in our service constitutes accounting, legal or tax advice.

Clients remain solely responsible for ensuring their accounting and tax obligations under Portuguese law are fulfilled through a licensed contabilista certificado.

3. Client Obligations

To enable us to provide our services effectively, you agree to:

• Provide complete and accurate financial documents in a timely manner
• Respond promptly to queries about unclear or missing documents
• Inform us of any changes to your business structure or accounting arrangements
• Ensure you have the right to share any documents you provide to us
• Maintain your own engagement with a licensed contabilista certificado for regulated accounting services
• Pay invoices in accordance with agreed payment terms

4. Accuracy and Limitations

Our services depend on the completeness and accuracy of the documents you provide. We organise and categorise based on the information available to us. We are not responsible for:

• Errors or omissions in documents you provide
• Missing documents not submitted to us
• Categorisation errors arising from ambiguous or incomplete information
• Any consequences arising from your contabilista's use of the organised files we deliver
• Any tax, IVA or regulatory compliance matters

We flag unclear items for your input rather than making assumptions. However, we cannot guarantee the completeness of your records if documents have not been provided to us.

5. Confidentiality and Data Protection

We treat all client financial documents and personal data with strict confidentiality. We do not share your documents with any third party except your designated contabilista (as instructed by you) and our secure cloud storage providers operating under appropriate data processing agreements.

Personal data is processed in accordance with our Privacy Policy and applicable GDPR requirements.

6. Intellectual Property

The content of this website — including text, design, graphics and code — is the property of TrueDatarium. You may not reproduce, distribute or use website content without our written permission. The financial documents you provide remain your property at all times.

7. Limitation of Liability

To the maximum extent permitted by Portuguese law, TrueDatarium's liability for any claim arising from our services is limited to the fees paid by you for the specific service giving rise to the claim in the preceding three months. We are not liable for indirect, consequential or economic losses, including losses arising from tax assessments, penalties or regulatory actions.

Nothing in these Terms limits liability for fraud, gross negligence or any liability that cannot be excluded by law.

8. Termination

Either party may terminate the service engagement with 30 days' written notice. Upon termination, we will deliver all client documents and the most recent organised file. Outstanding fees become immediately payable on termination.

9. Governing Law

These Terms are governed by Portuguese law. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, unless mandatory consumer protection law requires otherwise.

10. Changes to Terms

We may update these Terms from time to time. The "Last Updated" date reflects the most recent version. Continued use of our services after notice of changes constitutes acceptance of the updated Terms.
